1. Introduction

Welcome to DPOS ("Platform", "Service", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our point-of-sale system, business management platform, and related services.

By accessing or using DPOS, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

2. Services Overview

DPOS provides a comprehensive business management platform that includes:

• Point of Sale (POS): Transaction processing, inventory management, and sales tracking
• Visitor Management (VMS): Visitor registration, badge printing, and access control
• Gym Management: Member management, attendance tracking, and biometric integration
• Property Rental: Tenant management, lease tracking, and utility billing
• Hospitality (BnB/Hotel): Booking management, guest services, and property operations
• Queue Management (QMS): Customer flow management and appointment scheduling
• Events Management: Ticket sales, attendee management, and event operations
• Dairy Logistics: Farmer management, collection tracking, and settlement processing
• E-commerce: Online store, order management, and delivery tracking
• Marketing: Campaign management, SMS/Email marketing, and customer engagement

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all users under your organization comply with these Terms

4. Subscription and Payment

4.1 Subscription Plans

Access to DPOS requires an active subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.

4.2 Payment Terms

• All fees are exclusive of taxes unless otherwise stated
• Payments are non-refundable except as specified in our Refund Policy
• Failure to pay may result in service suspension or termination

5. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Maintain accurate and complete account information
• Comply with all applicable laws and regulations
• Obtain necessary consents for data you collect through the Platform
• Not interfere with the security or integrity of the Service
• Not attempt to gain unauthorized access to any systems

6. Data and Privacy

6.1 Your Data

You retain ownership of all data you input into the Platform. By using DPOS, you grant us a license to process this data as necessary to provide the Service.

6.2 Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws including the Kenya Data Protection Act and GDPR where applicable.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Deadan Group Limited (DGL) and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by law:

• DPOS is provided "as is" without warranties of any kind
• We shall not be liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

10. Termination

10.1 By You

You may terminate your account at any time by contacting support. Data export options are available before termination.

10.2 By Us

We may suspend or terminate your access for violation of these Terms, non-payment, or any activity that threatens the Platform's security or other users.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect.

12. Governing Law

These Terms shall be governed by the laws of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
